Terms of Service
These Terms of Service govern access to and use of the SpikedAI platform and related services.
1. Acceptance of Terms
These Terms of Service (“Terms”) form a legal agreement between you, or the organization on whose behalf you use the Services (“Customer”), and SpikedAI (“SpikedAI,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
SpikedAI is your Digital Teammate, helping users prepare for conversations, receive guidance during live conversations, retain context, and move follow-up work forward.
The Services analyze meeting transcripts and other customer-authorized business information to generate summaries, insights, recommendations, and follow-up actions. Available capabilities depend on the Customer’s plan, enabled integrations, and access permissions.
SpikedAI does not independently record meetings or capture audio or video. Recording and transcription are provided by third-party services connected and authorized by the Customer.
3. Accounts and Organizations
Access to the Services may require an account. Customers are responsible for keeping their account credentials confidential and for all activity under their accounts.
Organizational administrators manage workspace settings, integrations, and user access permissions.
4. Acceptable Use
You agree not to:
- Use the Services for unlawful or fraudulent purposes.
- Upload, access, or process information without appropriate authorization.
- Attempt to reverse engineer the Services or interfere with their operation.
- Bypass security measures or access controls.
- Use unauthorized access to the Services to develop competing products.
5. Customer Data and Integrations
Customers control the information they share with SpikedAI and the integrations they enable. Customers are responsible for obtaining the permissions, consents, and legal rights necessary to share and process that information.
For customer content processed on behalf of an organization, SpikedAI generally acts as a data processor and processes that content to provide the Services. Further information about our data practices is available in our Privacy Policy.
5.1 Calendar and Meeting Integrations
Customers may connect supported third-party calendar and meeting services to SpikedAI. Access depends on the permissions granted by the connecting user, organizational access controls, and the applicable provider’s requirements.
Depending on the integration and permissions granted, SpikedAI may access meeting details, attendee information, transcripts, and related content to support preparation, live guidance, notes, and follow-up work.
Calendar access is read-only. SpikedAI requests only read-only access to supported calendars and does not create, modify, or delete events in a connected calendar.
Customers are responsible for obtaining the authority and any necessary consents to share information through these integrations.
Users may disconnect integrations in SpikedAI or revoke access through the relevant provider. Disconnecting stops future access through that connection. Previously collected information is handled according to our applicable retention and deletion policies.
Provider-specific information about data access, permissions, use, and retention is available in our Privacy Policy and the relevant integration authorization screens.
6. Artificial Intelligence Processing
The Services use artificial intelligence and machine learning to analyze information and generate outputs. These outputs may contain inaccuracies or omissions.
Customers should review outputs before relying on them for operational, business, or strategic decisions.
Actions performed through supported integrations are subject to the applicable permissions, settings, and approval requirements.
Customer content is not used to train general-purpose artificial intelligence models without the Customer’s authorization, subject to applicable provider policies and legal requirements.
7. Fees and Billing
Fees for paid plans and credit purchases are displayed at checkout. Customers agree to pay those fees and any applicable taxes.
7.1 Automatic Renewal
Paid subscriptions renew automatically unless canceled.
Monthly subscriptions renew monthly, and annual subscriptions renew annually, on the renewal date shown in Billing.
By purchasing a subscription, the Customer authorizes SpikedAI and its payment processor to charge the payment method on file at the start of each renewal period, subject to applicable notice and consent requirements.
7.2 Cancellation
Customers may cancel their subscription through the Billing page in the app or by emailing [email protected].
Cancellation stops future subscription renewals. Cancellation or account deletion does not entitle the Customer to a refund of fees already charged, except as required by applicable law.
Automatic top-ups can be disabled separately in Billing.
7.3 Credits and Top-Ups
Plans include a monthly credit allowance. Unused plan credits expire at the end of the applicable monthly credit period and do not roll over.
Purchased top-up credits expire twelve months after purchase.
If automatic top-up is enabled, SpikedAI charges the payment method on file for the top-up amount shown in Billing whenever the Customer’s balance falls below the configured threshold.
Customers may disable automatic top-up in Billing at any time.
Credits have no cash value.
7.4 Refunds
Subscription fees, renewal fees, and credit purchases are non-refundable, except as required by applicable law.
This includes fees for unused subscription time or unused credits.
Any discretionary refund does not change this refund policy or create an entitlement to future refunds.
7.5 Failed Payments
If a payment fails, SpikedAI may retry the charge and suspend access to paid features until the outstanding amount is paid.
7.6 Price Changes
SpikedAI may update subscription prices with advance notice.
Price changes take effect at the next applicable renewal after at least 30 days’ notice by email, subject to any additional notice or consent requirements under applicable law.
Customers may cancel before the new price takes effect.
7.7 Billing Disputes
Please contact [email protected] with billing concerns so we can investigate and seek to resolve them promptly.
This does not limit any rights you have under applicable law to dispute a charge.
SpikedAI may suspend an account while a payment dispute is open, subject to applicable law.
8. Intellectual Property
SpikedAI retains all rights, title, and interest in the Services, including its software, models, platform technology, and related intellectual property.
Customers retain ownership of their data and grant SpikedAI a limited license to process that data to operate and provide the Services.
9. Suspension and Termination
SpikedAI may suspend or terminate access if the Customer violates these Terms, if required by law, or if necessary to protect platform security or other users.
Customers may discontinue use at any time. Stopping use of the Services does not cancel a paid subscription; Customers must cancel through the methods described in Section 7.2.
Upon account termination, access to the Services ends. Customer data is handled according to applicable retention and deletion policies.
10. Disclaimers
The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, SpikedAI disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, SpikedAI is not liable for indirect, incidental, consequential, or special damages, including lost profits, business interruption, or loss of data.
SpikedAI’s total liability arising from the Services will not exceed the amount the Customer paid for the Services during the twelve months preceding the claim.
12. Indemnification
Customers agree to indemnify and hold SpikedAI harmless from third-party claims arising from Customer data, Customer-authorized integrations, misuse of the Services, or violations of applicable law or these Terms.
13. General Terms
These Terms constitute the entire agreement regarding the Services and supersede prior agreements relating to the same subject matter, except as expressly provided in a separate agreement signed by SpikedAI and the Customer.
We may update these Terms periodically. We will notify Customers of material changes by email or in the app before those changes take effect.
Continued use of the Services after revised Terms take effect constitutes acceptance of the revised Terms, except where additional consent is required by applicable law.
